Capital Structure & Funding

The right mix of debt, equity and alternative capital for where the business is going — and support in raising it on terms that hold up.

Overview

We set out the realistic funding options for a specific plan — senior debt, mezzanine, equity, development finance, trade and supply-chain facilities — with the cost, control and covenant trade-offs of each stated plainly. Then we help you raise the chosen capital and negotiate terms that still work two years later.

Clients come to us ahead of a raise, a refinancing or a covenant problem. Many are raising across borders: a Nairobi business taking London or Gulf capital, or an international investor funding operations in Lagos or Johannesburg, where currency mismatch and local lending conditions shape the structure as much as price does.

Who this is for

Companies and institutions raising capital, refinancing, or reshaping a balance sheet that no longer fits their plans.

What you receive

  • Capital structure options with the trade-offs set out plainly
  • Funding model and investor- or lender-ready materials
  • Support through negotiation and close

How the market is changing

Higher global rates and tighter bank appetite have widened the gap between headline pricing and the terms businesses actually receive, while development finance institutions and private credit funds have become larger sources of capital for growth markets. Structuring for those lenders — and for the currency risk that comes with them — now decides whether a raise closes.

How to start

A first conversation is confidential and free. If this is the right service for your situation we will scope it in writing before any work begins.

Common challenges

Problems we're regularly asked to solve, and how

  • The problem

A business approaches lenders or investors before it has compared the structures available, and accepts the first term sheet it receives.

    How we address it

We set out the structuring options and their trade-offs before any approach, so you negotiate from a position you have chosen rather than one you were offered.

  • The problem

Funding is raised in hard currency against revenue earned in local currency, and the mismatch only shows when the exchange rate moves.

    How we address it

We model currency exposure into every option and structure hedging, local-currency tranches or natural offsets where the numbers call for it.

  • The problem

Financial modelling happens late, after key terms are already being negotiated, leaving little room to adjust.

    How we address it

We build the funding model alongside the options, so the numbers shape the terms rather than follow them.

Process

How this engagement unfolds

  1. 01

    Confidential discussion

We start by understanding the decision in front of you, the constraints around it and what has already been tried — confidential, free of charge, no obligation.

  2. 02

    Scope in writing

You receive the proposed work, what it will produce, how long it will take and what it costs, before anything begins. The scope sets out which funding options will be compared, which counterparties are in view, and what support runs through to close.

  3. 03

    The work

We build the funding model, prepare lender- and investor-ready materials, and set out the trade-offs of each option in plain language.

  4. 04

    Decisions and follow-through

We run the process with you through negotiation and close, and stay engaged to keep covenants and reporting on track afterwards.
